TERMS AND CONDITIONS

This agreement established a binding contract for photography service. By signing this agreement, the client agrees to pay ART NINJA at the price set forth on the second page of the agreement. The following terms and conditions shall also apply to client's engagement with ART NINJA:

· EXCLUSIVITY/RIGHTS: Family and friends of Client are still allowed to cover the event as long as they do not interfere with the photographer's duties such as blocking the cameras. If such person or persons are obstructing the team from performing his or her duties, Client or coordinator should stop the guest or it may affect the final output. ART NINJA has the right to use the images for personal or commercial purposes or upload the footage/s inour Facebook or YouTube channel for compilation purposes. Watermark is also present in both photos and videos unless it's for corporate purposes or as agreed.

· UNEXPECTED EVENTS: ART NINJA will not be liable to client under any situations if the performance is prevented or affected due to war, strikes, walk-outs, riots, fire or acts of God (Weather conditions, earthquakes etc.) In the event of any unexpected illness or emergency of photographer, ART NINJA should substitute another competent professional. If another photographer cannot be assigned in time for the event or other emergency situations, ART NINJA shall promptly return to Client the deposit they previously paid. Output will also depend on the current mood and tantrums for baby, kids or pet shoot. For drone service, client will process the flying permit and in charge of the fees in case of confiscation. ART NINJA can decline any shooting situations that may harm the gears and client will take responsibility if insisted. In case of laptop malfunction for SDE (Same Day Edit), ART NINJA will deduct P 2,500 to the final balance. In times of bad weather, ART NINJA reserves the right to decline (Non-refundable) or client have two options:

• Re-schedule of the event
• Client will add P 1,000 to the final balance since the team will take extra effort to protect the gears.

(E.g., renting a car/cab, Additional assistant, etc.)

Client is responsible for providing an alternate nearby location in the event of rough weather.

· DAMAGES: In case of data lost such as damaged or corrupted SD cards, ART NINJA will provide a partial or full refund depends on the number of lost files. Poorly lighted venue, too crowded, poor sound system or any hitch may affect the quality of the footage. ART NINJA will not be liable for any damage or lost file/s after the job completion as well as damaged items (CD, USB, Album etc) on the courier upon shipping. Client is responsible to back up their files in their personal drive.

· PAYMENT, DEPOSIT & OVERTIME: A minimum deposit should be made upon reservation and signing of agreement to block the date through BPI or Gcash only. Remaining balance should be settled on the day of the event through cash prior to the program. For third party clients (Coordinator, Caterer and other co-suppliers), balance should be settled the day before the event OR before the program starts through CASH only. Deposit is NON-REFUNDABLE upon cancellation. If client failed to send the deposit prior to the program, P 2,000 charge will be added to the final balance. In case of overtime due to delay or other matters, a fee of P 1,000 per exceeding hours should be added on the final balance. Time starts on the actual (booked) schedule, not the start of the actual program. In case our team is late, we are willing to provide an extension or time adjustment. There is a onetime free meeting with the client (Wedding & Debut) prior to the event. Client will provide a P1,000 to P 1,500 charge (Food and transportation for the team) depends on the location for every additional meeting unless ART NINJA is the one who initiates. Client will provide meal for the team or cash allowance for food.

· CHANGE IN DATE, TIME, LOCATION OR PACKAGE: Client can change the time and date at any time before the event once after booking. However, ART NINJA may add transportation allowance to the final balance depends on the new location plus a change of schedule fee of P500. If the new time or date conflicts with ART NINJA's existing schedule, ART NINJA reserves the right to terminate the contract (Also applicable in case of disagreements with the client or other issues) and the payment/deposit will be forfeited. Client can upgrade their package but cannot change the selection to the lower priced-package. Otherwise, ART NINJA can terminate the contract and forfeit the deposit.

· REVISIONS AND PROJECT COMPLETION: ART NINJA will provide the edited photos/Video to the client through online transfer. All photos are enhanced. (Technical/Minor enhancement retouch only. Additional P300/photo for photo manipulation or major editing request. Client will cover the shipping in case of delivery. Post processing of output will normally take 1-2 weeks for photos and 4-8 weeks for video to complete depends on the pending projects. However, it may take longer if the package includes a photo album since production in the printing office is beyond our control. For videos, we have 1 free minimal revision. P1,500 charge for additional or major revision. There is a rush fee of P 2,500 for 5 to 7 business days processing because we may hire an assistant for editing. Number of total photos and video duration depends on the event activity and other situations. Final photos ranges from 150 to 200 for birthdays/parties and 200 to 400 in wedding/debut. Total shots may increase if there is MORE THAN ONE photographer in the event. Candid shots and different angles may also be limited for solo shooters. For pre-birthdays/photoshoot, estimated number of final shot ranges from 20 to 50 photos depends on the situation. In case of delays due to illness, emergency or computer malfunction, client should be willing to provide an extension. Video/s is in .mp4 format for edited and .tmp, .avi, .mov etc. for raw clips. Any playback issue depends on the client's DVD, TV, USB or any media player's compatibility. Additional P2,500 for 40-60mins edited full video document. ART NINJA will delete the footage 1 week after delivery of the edited files to give space for new projects. We have a charge for raw files request. (P2,000 for photos and P3,000 for videos) That will transfer the copyright from the photographer which allows the client to reproduce or use the files for personal or commercial purposes. It will also prohibit the photographer  not to upload everything on social media by request. The project is considered as completed if no update with the client 1 week after sending the output OR if no communication with the client within 2 weeks during post processing. Client is advised to backup all the files after submission.

· LATE PAYMENT & CANCELLATION: There is a minimum of P 1,000 (or more depends on the package) charge for late/incomplete payment and upon cancellation IF the client cancels in less than 30 days before the event. Cancellation fee also applies to confirmed booking without a deposit. Failure to settle the said charges may result in social media posting and being banned from ART NINJA page.
